Gazprom has always had strict but understandable requirements - its facility must be fully staffed, clearly on time and with the declared quality. Factories are ready to make pipes and load them into wagons, and then - excuse me, deliver it as you wish. It was at this gap that the need arose for a company that would perform the missing functions. All over the world such services are outsourced, Russia is no exception.

Why did SETP occupy such a market share? Is this due to the fact that the company is controlled by Arkady and Boris Rotenberg?

Our share is explained very simply: we were the first company to work with all pipe manufacturers. At the same time, the market itself is very young. After all, in fact, mass production of large-diameter pipes began in Russia only seven years ago - at the end of 2005. Then SETP appeared. The first founders were OMK and TMK, which received 20% each. The rest was with Mr. Shabalov (Chairman of the Coordinating Council of the Association of Pipe Manufacturers). By the time the main owners changed - in 2010 - we had been working on the market for five years, our turnover exceeded 50 billion rubles.

- But the company's business has changed with the advent of new owners, because in 2011 SETP's turnover increased significantly.

By 2011, pent-up demand had accumulated after the crisis years of 2009-2010, and as a result, Gazprom consumed a total of over 2.2 million tons of LDP this year. These were record numbers, which since Soviet Union didn't even dream. In fact, due to this increase, our turnover increased, since a very decent volume fell to the share of SETP. That is, the change of shareholders did not change the structure of the business.

- And what exactly does SETP do?

We have four main functions - order picking, quality control, logistics and financial security, the so-called "financial buffer".

- Doesn't Gazprom complete its orders on its own?

- "Gazprom" forms an application - what pipes it needs, in what volumes, in what time frame and at what construction site. SETP specializes in large facilities - 300-400 thousand tons of pipes. For each tender, we negotiate with factories, find out what they can produce. They can actually, not technically. If the object is not completed at Russian enterprises - and this was the case in the record year 2011 - we determine the need for imports. Gazprom has a separate procedure for ordering abroad, and it takes them about a year to independently purchase imported products. We do it faster.

- But quality control is carried out by the factories themselves.

Naturally, every company has internal control quality. Gazprom is also doing this through the Business Trend company. And we act as an additional - independent controller. Regularly - once or twice a year - we conduct audits at factories: we check all the documentation, conduct a selective survey of employees. Plus, before shipment of each batch, we receive technical papers from factories. We analyze all the data - whether they correspond to the specified parameters, whether there are any hidden defects. If we find inconsistencies, the party "unfolds". This does not mean that otherwise a low-quality product would have gone on the track, but our audit helps to adjust the technologies so that such a probability does not exist in principle.

- SETP itself is engaged in transportation by rail?

Until 2010, we rented wagons from transport companies and most of the organizational issues were taken over. We have been working with Gazpromtrans for the last three years. Still, logistics is a different story.

A transport map is made for each batch of pipes. We audit stations. We look at how much each station can accept cargo, how much it can unload, what days it works, whether it accepts cargo at night, what dead ends are there, are there platforms to store cargo, is there transport to bring the cargo, what transport, how far can take away. "Gazpromtrans" and each plant receive from us the exact schedule of shipment. And if any problems suddenly arise at the stations, we immediately stop the shipment.

- What do factories do in this case?

Of course, factories cannot stop the production process. And their warehouses are not enough. Therefore, there is a system of temporary warehouses.

- Does SETP have its own warehouses?

Warehouses are not ours, we organize storage in them.

- Is SETP also involved in delivery from the station to the trench?

No, it's not us. On this site, the builders carry themselves. But if necessary - this also happened - we are doing this.

We had a lot of "specific" cases. For example, only Japanese pipes were suitable for sections of tectonic faults on the Sakhalin-Khabarovsk-Vladivostok project, but the Japanese themselves do not make insulation - for this, pipes must be transported to Malaysia. And we took it upon ourselves. Moreover, the deadlines were very tight, we had to use all the resources to push everyone away.

- And how many people work in SETP? Is there a branch network?

Our staff is 64 people. There is no branch network. We have excellent software and very professional staff- mostly come from the metallurgical industry. The work is structured in such a way that we continuously receive information from factories without our direct presence. If necessary, people go there when there are some problems.

It's the same with the control of railway stations: once we went, looked at what was there and how, and "Gazpromtrans" provides us with current information. If a problem suddenly arises, then one or two people go to the place.

- What is the function of SETP as a "financial buffer"?

- "Gazprom" never makes an advance payment - it always pays after the fact, when the delivery to the facility has already passed. Even the tender documents provide for a deferred payment for 55 banking days, which is 75-80 or even up to 90 calendar days. Moreover, the period is not counted from the moment of shipment, but after the invoice is issued and registered with Gazprom Complete. We pay factories after their shipment. Sometimes, with some kind of time lag, which we can agree on. Sometimes, rarely, but there is an advance payment. If it is necessary - we do it. And to cover the cash gap, we have several credit lines, we can simultaneously borrow more than 7 billion rubles. We also attract our working capital.

- What banks do you cooperate with?

Bank "Russia", Gazprombank, Promsvyazbank. There were also agreements with Sberbank and other banks. At the end of 2010, when Gazprom was preparing for record deliveries to several facilities at once, the issue of opening a serious credit line for SETP under the guarantee of Gazprom was being decided. Then Sberbank wanted to participate in the deal, but in the end the line was opened at Gazprombank - its interest rate was lower.

Has SETP ever had trouble raising funds given the difficulty of securing large loans?

When the company was just formed and there were no large turnovers, we, accordingly, could not attract much. But with the growth of turnover, we came to very decent opportunities - I have named them for you. So, in principle, we can attract more.

- You are only in Russian banks are you on credit?

Yes, but not only in Russian currency. Everything depends on the conditions.

- How is SETP interacting with Russian Railways?

Transportation is carried out by "Gazpromtrans" and now it is in contact with Russian Railways. Although there were problems before, of course. Our cargoes often arrived with damage: at the stations they were very fond of collecting trains, sending cars "downhill". Can you imagine what will happen to a 10- or 12-ton pipe when it crashes into an obstacle at a speed of 20-40 km per hour? Bevels were damaged, and we created special teams that repaired them - otherwise the consignee would not accept the pipes. We complained a lot. Plus, I ended up having to insure the cargo.

- In Sogaz?

- And how much is the insurance premium?

When we were doing this, it was about 4-5% of the value of the goods. Now "Gazpromtrans" is engaged in insurance. And as far as I know, fees have decreased - the situation at the stations has improved.

- How is SETP margin formed? What is the profitability of the business?

- "Gazprom" pays for pipes exactly as much as it is willing to pay. And I can say that it good price- on average about 20% lower than in the West. To pay for our services, we negotiate a price with pipe makers.

At the very beginning of our journey, the profitability of the business was quite low - literally 1-2%. Gradually - with an increase in the number of functions, with an increase in our capabilities - we began to optimize the work. In 2008, we reached a profitability of approximately 5-6%, in 2010 - already about 8%. Now our profitability is about 10-15%.

- Was SETP one of the parties to the price formula agreement between Gazprom and pipe companies?

No, factories and Gazprom sign the price formula - they determine the level.

- What are SETP's revenues and profits in 2012?

Our turnover has declined as Gazprom's demand for pipes has decreased compared to the record year of 2011. But I can't disclose the exact figures yet - we have obligations to consumers.

- How much money do co-owners take from the company as dividends?

This is the policy of the owners of the company, and I would not like to be responsible for them. But they certainly receive dividends.

Maybe there is some criterion - for example, the minimum amount of money that the company needs to avoid problems with the same banks?

No, there is no such index.

- That is, if the owners want, they can take as much as they want?

Yes, within what is available. But in any case, they will not take too much. On this account they have certain agreements. Let's leave it to their diocese.

- Why can't Gazprom Komplektatsiya do everything SETP does?

In order for Gazprom Komplektatsiya to be able to do all this, the company's staff needs to be increased five times.

- And what, less than 60 people work at Gazprom Complete?

Probably more. But "Gazprom komplektatsiya" is not only the supply of pipes and fittings, it is a lot of other things. They have enough work to do. I already said everything large companies always order services on the side if these services can be done more qualified by others. Our situation is no exception.

- Could SETP become a part of Gazprom sooner or later?

I don't think it makes sense.

- Don't you think that SETP has taken a monopoly position?

Of course, we have a serious position in the market. But we do not have something unique - we do not have a license for any unique resources, there is no sole access to the transport infrastructure. We win all our orders on tenders. Other companies can also enter them - with the appropriate financial and logistical resources, which would be able to provide the same services of the same quality. And in the same way, we can lose the tender, this has happened more than once.

- Do you intend to expand SETP's activities beyond the supply of pipes - perhaps you are interested in construction?

No, we do not set ourselves such a task - if you mean diversification plans. I think that you need to debug your work very well. Maybe expand. Maybe look for some other directions, but do what you do well.

- Does SETP work with someone else, for example, with Transneft?

Purchases of pipes by oil companies, including Transneft, are too uneven. Even at Gazprom they are uneven. And we do not want to recruit new specialists so that they are idle. This is not only additional costs, it dampens the work of the entire company. We are preparing people, preparing in advance, for a long time. And we don’t want them to leave somewhere, or they simply would have to be fired from the company - if there is a drop in turnover. So this is a difficult decision, and we are only discussing this issue within SETP - only for the future.

- Is SETP going to work on any foreign projects of Gazprom? For example, on the "South Stream"?

The situation with South Stream is not completely clear - who will build it and how, who will be the supplier for the project. Therefore, there is no answer to this question yet.

Now some divisions of Gazprom are moving to St. Petersburg. Will SETP have to move after Gazprom?

I think no. What for? Bringing the documents to the tender is not a problem. In the end, the main part of it can be prepared in in electronic format. Yes, and with paper documentation, too, there should be no problems, after all, tenders are not held every day.

Alexander Nikolaevich, what made you pay attention to PR, what steps to take towards openness?

You understand what's the matter - a lot of information appears in the press, but it appears very much distorted. It is clear that it is simply not enough. Therefore, we decided that it would be better to give information ourselves than to be guessed at. That's what is motivating.

Yesterday, September 16, this case was heard in the 9th Arbitration Court of Appeal. Here the tax authorities appealed against what Muratov managed to do before his illness, namely: to impose interim measures. He forbade the tax authority to suspend operations on bank accounts and seize the property of Energaz. But first, the head of the legal department of the Federal Tax Service, Artem Frantsuzov, decided to draw the attention of the panel of judges to the situation with the removal of a judge.
- The case fell into the civil composition of the judge Muratov. We were quite surprised by this. They began to think why. It turned out that Judge Muratov was the son of the counterparty's lawyer, whom we interrogated. In this regard, we filed a challenge, but it was not satisfied. However, the case was transferred to another judge.
His opponents did not see anything extraordinary in the transfer of the case. "The application for a challenge was considered. No relevant grounds for satisfying it were identified. Yes, indeed, the case was transferred to Judge Karpova. But it was announced that the case was transferred to her in the order of replacement due to Muratov's illness," said the Energaz representative. Alexandra Surova.
- And what were the grounds for refusing to withdraw? - asked the presiding judge Elena Solopova.

- I understand if he [Muratov Sr.] was our representative. This counterparty is simply one of our counterparties. The lawyer did not ask any questions, he did not attend any other tax control events. Therefore, there is no reason to talk about interest! Surova replied.
"Is Judge Muratov still sick?"
Judge Muratov had two main arguments for imposing interim measures. Firstly, from its definition it follows that "physical withdrawal from the turnover of Energaz LLC of the amounts of taxes and penalties in the total amount of 126 million rubles." actually paralyzes the activity of the company. True, at the same time, the definition states that if interim measures are taken, the balance of public interests and the interests of the applicant will not be violated, since the value of Energaz's assets is 460 million rubles, and, therefore, the company has property, "the value of which is sufficient to satisfy the requirements of the tax authority in full.
The tax authorities saw this as an internal inconsistency in the document. “In our opinion, this ground is not confirmed by anything,” said Frantsuzov. “The court itself established that the taxpayer has enough funds to cover tax claims. Under such circumstances, it turns out that the withdrawal does not lead to any deficit!”
Secondly, Judge Muratov, in his ruling on the imposition of interim measures, drew attention to two bank guarantees in the amount of 63 million rubles. each. They were provided by Energaz as counter security as part of the filing of an application for interim measures. This, according to the tax authorities, is an unsuitable argument for prohibitions. "These bank guarantees expire in December 2014. That is, they are not designed for the entire period of consideration of the case in all instances!" French said.
